Welcome to Citimart.com! These Terms and Conditions (“Terms”) govern your access to and use of the Citimart Website located at www.citimarts.com, our mobile applications, and any related services (collectively, the “Service”). The Service is owned and operated by Citimart LLC and its affiliates (“Citimart,” “we,” or “us”).

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you may not access or use the Service. Your use of the Service constitutes your acceptance of these Terms without modification.

Citimart reserves the right to modify, update, or change these Terms at any time without prior notice. We will post the most current version of these Terms on this page, and any changes become effective immediately upon posting unless otherwise stated. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You should periodically review these Terms to stay informed of updates.

3. Use of the Service

3.1 Eligibility

You must be at least 18 years of age to use the Service and place order. By using the Service, you represent and warrant that you are a t least 18 years old and have the legal capacity to enter into these Terms.

Impersonate or attempt to impersonate Citimart, a Citimart employee, another user, or any other person or entity

4. No Warranties of Accuracy or Endorsement of Information

The Service provides access to Citimart’s weekly advertisements, digital circulars, promotional offers, store locations, hours of operation, and other informational content. All pricing, product availability, and promotional information displayed on the Service:

Applies to in-store purchases at participating Citimart locations
Is subject to change without notice
May vary by location
May not reflect current in-store prices or availability

We make every effort to ensure the accuracy of pricing and product information displayed on the Service, but errors may occur, Citimart reserves the right to correct any error, inaccuracies, or omissions at any time without prior notice. IN the event of a discrepancy between prices or product information displayed on the Service and prices or information available in-store, the in-store prices and information shall prevail.

Product availability information shown on the Service is for reference only and does not guarantee that products will be in stock at any particular Citimart location. We recommend contacting your local Citimart store directly to confirm product availability before visiting.

Promotional offers, coupons, and discounts displayed on the Service are subject to specific terms and conditions, which will be stated in the applicable advertisement or promotional material. Unless otherwise specified:

Offers are valid only at participating Citimart locations
Offers are valid only during the dates specified
Offers cannot be combined with other offers unless explicitly stated

Subject to your compliance with these Terms, Citimart grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Content for your personal, non-commercial use only. You may not:

Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as necessary to view the Service for personal use
Use of any Content for commercial purposes without our express written permission

Citimart, the Citimart logo, and other marks displayed on the Service are trademarks or registered trademarks of Citimart. You may not use these marks without our prior written consent. You may print or download content from the Service solely for personal, non-commercial use, provided that you maintain all copyright and other proprietary notices.

6. User-Generated Content

6.1 Submissions

The Service may allow you to submit feedback, comments, questions, suggestions, or other content (“User Content”). By submitting User Content, you grant Citimart a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media for any purpose, including marketing, advertising, and improving our services.

6.2 Prohibited Content

You may not submit User Content that:

Is false, misleading, or inaccurate
Infringes on any intellectual property or other rights of any person or entity
Contains advertising or promotional material
Is obscene, defamatory, harassing, abusive, threatening, hateful, or discriminatory
Violates any applicable law or regulation
Contains viruses or other harmful code
Violates the privacy rights of others

6.3 No Compensation

Citimart has no obligation to monitor User Content, but reserves the right to review, edit, or remove any User Content at any time without notice for any reason, including if it violates these Terms or we believe it may create liability for Citimart. You acknowledge that Citimart has no obligation to compensate your for any User Content you submit.

7. Third-Party Links and Services

The Service may contain links to third-party websites, applications or services that are not owned or controlled by Citimart (“Third-Party Services”), including links to manufacturers’ websites, coupon providers, or social media platforms. We do not endorse or assume any responsibility for Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and conditions and privacy policies of those third parties.

THE SERVICE WILL BE UNINTERREUPTED, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
THE QUALITY OF ANY INFORMATION OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS
ANY ERRORS IN THE SERVICE WILL BE CORRECTED
PRICES, PRODUCT AVAILABILITY, OR PROMOTIONAL INFORMATION DISPLAYED ON THE SERVICE WILL BE CURRENT, COMPLETE, OR ACCURATE

TO THE MAXIMUM EXTENT PREMITTED BY LAW, IN NO EVENT SHALL CITIMART, ITS AFFILIATES, PARENT COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTAGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USES OF OR INABILITY TO ACCESS OR USE THE SERVICE, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, ANY CONTENT OBTAINED FROM THE SERVICE, UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, RELIANCE ON PRICING, PRODUCT OR PROMOTIONAL INFORMATION DISPLAYED ON THE SERVICE, OR ERRORS OR INACCURACIES IN THE SERVICE.

WETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING ENGLIGENCE), OR ANY OTHER LEGAL THEORY, WETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Citimart, its affiliates, parent companies, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of or inability to access or use the Service, your violation of these Terms, your violation of any rights or another person or entity, your User Content.

13. Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by the laws of the State of New York.

13.2 Informal Resolution

Before filing a claim, you agree to first contact Citimart at the contact information provided in Section 15 to attempt to resolve the dispute informally. We will attempt to resolve the despite informally within Sixty (60) Days. If we cannot resolve the dispute within that time, either party may proceed with formal dispute resolution.

13.3 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FIL A LAWSUIT IN COURT.

You and Citimart agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, “Disputes”) will be resolved by binding arbitration, rather than in court, except that:

YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND CITIMART ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

13.4 Arbitration Procedures

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified U.S. Mail or Federal Express (signature required), or if we do not have a physical address on file for you, by electronic mail (“Notice”). The Notice to Citimart should be made at the contact information provided in Section 15.

The Notice must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). If Citimart and you do not reach an agreement to resolve the claim within Thirty (30) Days after the Notice is received, you or Citimart may commence an arbitration proceeding.

Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in these Terms. If the value of your claim does not exceed $10,000, Citimart will pay all filing administration, and arbitrator fees, provided your claim is not frivolous.

The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. The arbitrator’s decision will be final and binding, except for nay right to appeal provided by the Federal Arbitration Act. Judgment on the award may be entered in any court having jurisdiction.

13.5 Class Action Waiver

YOU AND CITIMART AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, unless both you and Citimart agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

13.6 Venue

To the extent that arbitration does not apply, you agree that any litigation arising out of or related to these Terms or the Service shall be filed exclusively in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction of such courts.

13.7 Time Limitation on Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within One (1) Year after such claim or cause of action arose, or it will be forever barred.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Citimart regarding the Service and supersede l prior agreements and understandings, whether written or oral.

14.2 Waiver and Severability

The failure of Citimart to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

14.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without Citimart’s prior written consent. Citimart may assign or transfer these Terms or any rights hereunder, in whole or in part, without restriction.

14.4 Termination

Citimart may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.5 No Agency

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Citimart.

14.6 Notices

Citimart may provide notices to you via email, regular mail, or postings on the Service. Notices sent by email will be deemed given when we send the email. Notices sent by postal mail will be deemed given three days after mailing. You may provide notices to Citimart at the contact information provided in Section 15.
